e) Survival: Clauses related to Intellectual Property Rights, Confidentiality, Security and Data Protection, Limitation of Liability, Governing Law and Jurisdiction, and any other clause which by its nature should survive the termination of these Terms, shall continue in force beyond the termination or expiration of these Terms.
f) Effects of Termination: Termination of these Terms will not relieve the User of any obligation to pay any accrued fees or charges. Termination will also not limit either party from pursuing other remedies available to it, including injunctive relief.
g) Deletion of Data: Upon termination, all your account information and related data may be deleted, and Sarsbury Darwell Ltd will have no obligation to maintain or provide any of your data. It is your responsibility to back up your data that you want to retain before you terminate your account.
6. Indemnification
You agree to indemnify, defend, and hold harmless Sarsbury Darwell Ltd, its directors, officers, employees, agents, licensors, suppliers, and any third-party information providers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms and Conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Service using your account.
7. Disclaimer of Warranties
a) Services "As Is": The Services of Sarsbury Darwell Ltd are provided on an "as is" and "as available" basis without any representations or warranties of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
b) No Guarantee: Sarsbury Darwell Ltd does not guarantee that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Nor does it make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service.
c) Risk Assumption: Any material and/or data downloaded or otherwise obtained through the use of the Service is at your discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data.
8. Limitations on Liability
a) No Liability: To the fullest extent permitted by applicable law, Sarsbury Darwell Ltd shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Sarsbury Darwell Ltd has been advised of the possibility of such damages), resulting from the use or the inability to use the Service.
b) Cap on Liability: In no event shall the total liability of Sarsbury Darwell Ltd to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Service.
c) Acknowledgement: You acknowledge that the limitations set forth above are an integral part of these Terms and Conditions, and that the Service would not be provided to you without such limitations.
9. Dispute Resolution
a) Initial Effort to Resolve: Both parties shall use their best efforts to negotiate in good faith and settle any dispute that may arise out of or relate to these Terms and Conditions, or any breach thereof. If any such dispute cannot be settled amicably through ordinary negotiations between the parties, or either or both is or are unwilling to engage in this process, either party may propose to the other in writing that structured negotiations be entered into with the assistance of a fully accredited mediator before resorting to litigation.
b) Mediation: If the parties are unable to agree upon a mediator, or if the mediator agreed upon is unable or unwilling to act and an alternative mediator cannot be agreed, any party may apply to the London Court of International Arbitration ("LCIA") to appoint a mediator. The parties hereby expressly waive any right to bring any action in any court, except for actions to enforce the rulings of the arbitrators, and agree to resolve their disputes solely by mediation and/or arbitration in accordance with the LCIA rules, which are deemed to be incorporated by reference into this clause.
c) Binding Arbitration: If the parties fail to resolve the dispute through mediation within sixty (60) days of the selection of the mediator or within such other period as the parties may mutually agree in writing, the dispute shall then be resolved by binding arbitration under the LCIA rules. The decision of the arbitrator shall be final and binding on both parties, and any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
d) Location: Unless both parties agree in writing otherwise, any mediation and/or arbitration shall take place in London, United Kingdom. Both parties agree to this location for convenience.
e) Recovery of Costs: In any arbitration arising out of or related to these Terms and Conditions, the arbitrator(s) shall award to the prevailing party, if any, the costs and attorneys’ fees reasonably incurred by the prevailing party in connection with the arbitration.
f) Exclusion: Notwithstanding the foregoing, Sarsbury Darwell Ltd may pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.
10. General Terms
These Terms and Conditions, together with any documents referred to herein, constitute the entire agreement between the parties and supersede any previous agreements, understandings, and arrangements between them in relation to the subject matter hereof.
b) Governing Law & Jurisdiction: These Terms and Conditions and any non-contractual obligations arising out of or in connection with them are governed by and shall be construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
c) Amendments: Sarsbury Darwell Ltd reserves the right to amend, modify, or replace these Terms and Conditions at any time. Any such changes will be posted on the company’s website and, where appropriate, notified to users by email or another suitable method. Your continued use of the services following such notification constitutes your acceptance of the revised terms.
d) Severability: If any provision or part of a provision of these Terms and Conditions is or becomes invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted.
e) Waiver: No failure or delay by Sarsbury Darwell Ltd in exercising any right, power, or remedy provided under these Terms and Conditions or by law constitutes a waiver of that or any other right, power, or remedy, nor shall it prevent or restrict any further exercise of that or any other right, power, or remedy.
f) Assignment: These Terms and Conditions are personal to the user and may not be transferred, assigned, or delegated to anyone. Any attempt by the user to assign, transfer, or delegate these Terms and Conditions shall be null and void.
